Terms of Service

The agreement that governs your access to and use of the NEXLEFT platform.

1Agreement

These Terms of Service ("Terms") govern your access to and use of the NEXLEFT platform, including our websites, mobile applications, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and any service-specific terms that apply to you, including the Rider Terms, Driver Terms, Subscription Terms, and Refund & Cancellation Policy. If you do not agree, do not use the Service.

2The service; NEXLEFT's role

NEXLEFT provides technology that connects riders with independent drivers and coordinates related transportation services across our service tiers. NEXLEFT is a technology platform; it does not itself provide transportation services and, except where expressly stated or required by applicable law, drivers on the platform are independent contractors — not employees, agents, or partners of NEXLEFT.

3Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to hold an account. You are responsible for your account, your credentials, and all activity under your account, and you must provide and maintain accurate information. Identity verification through NEXPASS may be required to access some or all features. One person per account; accounts are not transferable.

4Acceptable use

When using the Service, you agree that you will not: break the law; harass, harm, endanger, or discriminate against riders, drivers, or others; misuse safety features; commit fraud or abuse promotions, referrals, or incentives; spoof location, tamper with the applications, scrape data, or reverse-engineer any part of the Service; or otherwise interfere with platform integrity. We may suspend or terminate accounts that violate these Terms, our policies, or that present risk to the platform or its community.

5Payments, fares & fees

Fares, fees, taxes, tolls, and applicable surcharges are charged through our payment processor (Stripe) to your selected payment method. NEXLEFT does not store your full card number. Fare estimates are shown before you request a ride; the final fare may reflect actual route, time, and applicable fees. Dynamic pricing may apply but is bounded by trust-preserving limits disclosed in the app. Applicable fees — including any service fee, state or local surcharges, and driver-benefit fees required by law — are disclosed at or before checkout and itemized on your receipt. Memberships are governed by the Subscription Terms and are sold through our website. Receipts are provided in-app.

6Cancellations & refunds

Cancellation windows, cancellation fees (including the scheduled-ride en-route cancellation fee paid to the accepting driver), plan-based cancellation forgiveness, and refund handling are described in the Refund & Cancellation Policy, which is part of these Terms.

7Safety

Safety features — including emergency assistance tools, trusted contacts, driver identity verification, and related capabilities — are provided to assist riders and drivers but are not a substitute for emergency services. In an emergency, contact your local emergency number (911 in the United States) directly. You agree to follow all applicable safety laws, including seat-belt and child-restraint requirements.

8Privacy

Our collection and use of personal information in connection with the Service is described in the Privacy Policy. By using the Service you acknowledge the practices described there, including the collection of precise location data while the app is in use as needed to provide the Service.

9Disclaimers & limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. NEXLEFT does not warrant uninterrupted or error-free operation of the Service, and is not responsible for the acts or omissions of riders or of independent drivers.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEXLEFT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL; AND (b) NEXLEFT'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO NEXLEFT IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you; nothing in these Terms limits any liability that cannot lawfully be limited.

10Indemnification

You agree to indemnify, defend, and hold harmless NEXLEFT, INC. and its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms or applicable law, or your violation of any third party's rights — except to the extent caused by NEXLEFT's own negligence or willful misconduct.

11Dispute resolution

Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Informal resolution first. Before filing a claim, you and NEXLEFT agree to try to resolve the dispute informally: send a written description of the dispute to legal@nexleft.com, and allow 30 days for resolution.

Arbitration agreement. Except for disputes that qualify for small-claims court or claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Kern County, California, or remotely by agreement. You and NEXLEFT each waive the right to a jury trial and to participate in a class action, class arbitration, or representative proceeding.

Your right to opt out. You may reject this arbitration agreement, with no effect on the rest of these Terms, by mailing written notice — your name, account email, and a statement that you opt out of arbitration — to NEXLEFT, INC., 30 N Gould St Ste R, Sheridan, WY 82801, US, within 30 days of first accepting these Terms.

12Changes & termination

We may modify the Service or these Terms. If we make material changes, we will notify you and update the effective date above; continued use after the effective date constitutes acceptance where permitted by law. You may stop using the Service at any time. We may suspend or terminate your access for cause, including violation of these Terms.
